Belenis </strong>(CRD #2441443, Davis, California) submitted an AWC in which he was fined $5,000 and suspended from association with any FINRA member in any capacity for 20 business days. Without admitting or denying the findings, Belenis consented to the sanctions and to the entry of findings that he engaged in a private securities transaction by investing in a limited liability company that held a gold mining operation, without prior written notice to his member firm. The findings stated that Belenis assisted in raising capital for the limited liability company, yet inaccurately answered “no” on a firm questionnaire asking whether he had assisted in raising capital. The suspension was in effect from October 5, 2015, through October 30, 2015. <strong>(FINRA Case #2013036196701)</strong></p>

<p><strong>Ronald Seth Cohen (CRD #2419431, Boca Raton, Florida) </strong>submitted an AWC in which he was assessed a deferred fine of $10,000 and suspended from association with any FINRA member in any capacity for four months. Without admitting or denying the findings, Cohen consented to the sanctions and to the entry of findings that he engaged in three outside business activities without providing prior written notice to his member firm. The findings stated that Cohen actively managed three businesses and received approximately $466,200 in compensation from the businesses’ owner, a firm customer. The findings also stated that Cohen made misrepresentations to his firm regarding his participation in the outside business activities by falsely stating that he disclosed all outside business activities on two annual compliance questionnaires. These representations were false, as Cohen had not disclosed his participation in the three outside business activities.</p>


<p>The suspension is in effect from July 6, 2015, through November 5, 2015. (<strong>FINRA Case #2014042790701).</strong></p>

Without admitting or denying the findings, the firm consented to the sanctions and to the entry of findings that it failed to conduct appropriate due diligence and supervision with respect to a private placement offering that a registered representative sold away from the firm as an approved private securities transaction. All of the private placement investors, who were also firm customers, lost 100 percent of their investments resulting from a related entity’s fraudulent business practices. The firm failed to detect and follow up on red flags that the related entity was engaged in fraudulentbusiness practices. (<strong>FINRA Case #2013035346501</strong>). <p><strong>HLM Securities, Inc.&nbsp;</strong>(Chicago, Illinois) and Terrance Richard Hennessy (Valparaiso, Indiana) submitted a Letter of Acceptance, Waiver and Consent in which the firm was fined $100,000 of which $10,000 is joint and several with Hennessy. Hennessy was assessed a deferred fine of $50,000, which includes the $10,000 joint and several fine, and suspended from association with any FINRA member in any capacity for 18 months. Without admitting or denying the findings, the firm and Hennessy consented to the sanctions and to the entry of findings that although the firm was aware, Hennessy failed to provide written notice to the firm prior to or even subsequent to, his participation in the purchase of membership interests in limited-liability companies, as required by the firm’s written supervisory procedures. The findings stated that Hennessy’s failure to provide written notice of his participation in the private securities transactions, as well as the firm’s failure to include those transactions in its books and records, deprived FINRA of its ability to oversee Hennessy’s and the firm’s securities activities, since the firm did not have any record of those activities. <p>In addition to market and limit orders, brokerage firms may allow investors to use special orders and trading instructions to buy and sell stocks. One of the most common special orders and trading instructions is the “stop order.”</p>


<p><strong>Stop Order: </strong>A stop order, also referred to as a stop-loss order, is an order to buy or sell a stock once the price of the stock reaches a specified price, known as the stop price. When the stop price is reached, a stop order becomes a market order. A buy stop order is entered at a stop price above the current market price. Investors generally use a buy stop order to limit a loss or to protect a profit on a stock that they have sold short. A sell stop order is entered at a stop price below the current market price. Investors generally use a sell stop order to limit a loss or to protect a profit on a stock that they own. Before using a stop order, investors should consider the following: short-term market fluctuations in a stock’s price can activate a stop order, so a stop price should be selected carefully. The stop price is not the guaranteed execution price for a stop order. The stop price is a trigger that causes the stop order to become a market order. The execution price an investor receives for this market order can deviate significantly from the stop price in a fast-moving market where prices change rapidly. An investor can avoid the risk of a stop order executing at an unexpected price by placing a stop-limit order, but the limit price may prevent the order from being executed. For certain types of stocks, some brokerage firms have different standards for determining whether a stop price has been reached. For these stocks, some brokerage firms use only last-sale prices to trigger a stop order, while other firms use quotation prices. Investors should check with their brokerage firms to determine the specific rules that will apply to stop orders.</p>

The fine must be paid either immediately upon Hammond’s reassociation with a FINRA member firm following his suspension, or prior to the filing of any application or request for relief from any statutory disqualification, whichever is earlier. Without admitting or denying the findings, Dahn consented to the described sanction and to the entry of findings that he borrowed a total of $27,100 from public customers without the ability to repay the loans that had been represented to be used for operating expenses for a company Dahn ran with his brother. The findings stated that Dahn failed to disclose the loans to his members firms. The firms’ WSPs prohibited borrowing money from customers. Dahn has failed to repay either of the loans, one of which required payment within 90 days. Dahn misappropriated the funds by failing to repay either loan, and by borrowing customer funds without the ability to repay the loans.<strong>&nbsp;FINRA Case No. 2013036768101</strong></p>

In light of Burstien’s financial status, no monetary sanctions have been imposed. Without admitting or denying the findings, Burnstein consented to the described sanctions and to the entry of findings that he was his firm’s CCO, whose duties included reviewing customer accounts to detect and monitor for unsuitable transactions, excessive trading activity, unauthorized trading/transactions, excessive losses, wholesale recommendations, excessive securities concentrations, and large or routine debit balances. <p><strong>SEC Files Civil Injunctive Action Against Alleged Perpetrator and Unregistered Broker in Fraudulent Promissory Note Offering</strong></p>


<p>Recently, the Securities and Exchange Commission filed a civil injunctive action in the United States District Court for the District of Colorado against Brian G. Elrod for allegedly conducting a fraudulent offering of promissory notes for which Nova Dean Pack acted as an unregistered broker. Elrod and Pack reside in Buffalo Creek, Colorado and Highland, California, respectively.</p>


<p>The Complaint alleges that, from at least March 2009 through November 2009, Elrod and Pack raised approximately $2 million from 12 investors who invested in high-yield promissory notes issued by CFS Holding Company LLC (“CFS”), a Colorado company owned and managed by Elrod. According to the Complaint, Elrod told investors that their investments were secured and guaranteed and would generate annual returns ranging from 12% to 24%. According to the Complaint, Elrod further represented to investors that the proceeds from their promissory notes would be used to expand a group of financial services companies owned and managed by Elrod. The Complaint alleges that the foregoing representations, among others, were false and misleading when made, and that Elrod, rather than use investor money for legitimate business purposes, improperly used most of the investor funds to make substantial payments to himself and family members and to pay for personal expenses, to pay Pack significant commissions for referring investors, and to make interest payments back to investors. According to the Complaint, the CFS note offering was not registered with the Commission, and Pack was not an associated person of a registered broker or dealer at the time he participated in the CFS note offering.</p>


<p>Without admitting or denying the SEC’s allegations, Elrod and Pack agreed to settle the case against them. The settlement is pending final approval by the court. Specifically, Elrod consented to the entry of a final judgment permanently enjoining him from future violations of Sections 5 and 17(a) of the Securities Act of 1933 (“Securities Act”) and Section 10(b) of the Securities Exchange Act of 1934 (“Exchange Act”) and Rule 10b-5 thereunder, and requiring him to pay disgorgement of $1,720,491, the amount of his ill-gotten gains, plus prejudgment interest of $295,817, and a civil penalty of $1,720,491. Pack consented to the entry of a final judgment permanently enjoining him from future violations of Section 5 of the Securities Act and Section 15(a) of the Exchange Act, and ordering disgorgement of $171,500 plus prejudgment interest of $25,177, but waiving payment and not imposing a civil penalty based upon his financial condition.</p>

<p><strong>Manny Aizen a/k/a Manuel Aizen </strong>(CRD #1676247, Registered Principal, Dallas, Texas), <strong>Edward Michael Milkie </strong>(CRD #871257, Registered Principal, Dallas, Texas) and <strong>Daniel Edward Levin </strong>(CRD #707280, Registered Representative, Dallas, Texas) submitted Offers of Settlement in which they were each fined $30,000. Aizen and Milkie were each suspended for association with any FINRA member in any principal capacity for six months. The fines must be paid either immediately upon their reassociation with a FINRA member firm following their suspensions, or prior to the filing of any application or request for relief from any statutuory disqualification, whichever is earlier. <p>Over the years, mass media such as television and radio programs have been used by brokerage and/or account executives to attempt to generate new clients for themselves or interest in specific forms of product. As such, all information provided during the program must be accurate in all material respects and must not omit any information which would make the statements misleading.</p>


<p>In order for an account executive, to become involved in such a television or radio program, he or she must get approval from their broker/dealer to engage in such activity, who then has the responsibility to reasonably monitor the program. In order to establish guidelines relating to the approval process and its continuing supervisory responsibilities, the broker-dealer must establish and implement a reasonable written supervisory system to safeguard customer assets. If the brokerage firm fails in its duty to reasonably supervise the account executive’s activity during this activity, the firm may be liable to the client for any losses associated with such activity.</p>

<p><strong>G. Research, Inc. f/k/a Gabelli & Company, Inc. </strong>(CRD #7353, Rye New York) submitted a Letter of Acceptance, Waiver and Consent in which the firm was censured and fined $1,000,000. <p>In order for an account executive, to become involved in an outside business activity, he or she must get approval from their broker/dealer to engage in such activity, who then has the responsibility to reasonably monitor the outside activity. In order to establish guidelines relating to the approval process and its continuing supervisory responsibilities, the broker-dealers must establish and implement a reasonable written supervisory system to safeguard customer assets.</p>


<p>Thus, the broker – dealer is charged with initially performing due diligence (investigating) the proposed outside business activity to, among other things, make sure that all material information is contained in the offering documents, relating such things as the identity and prior performance of the promoters of the investment or of the investment itself, potential conflicts of interest, the financial condition of the entity, the risks associated with the investment, the viability of the proposed business of the venture and its liquidity (is there a reasonable exit strategy) and thereafter supervising the performance of the investment. For example, many private offerings (“alternative investments”) contain requirements that each year, the business must provide the investors with a certified final statement prepared in accordance with generally accepted accounting principles. If for any reason this financial statement is not delivered timely, immediate contact with the broker – dealer should be made.</p>


<p>Depending upon the factual pattern associated with customer losses associated with unapproved or failed outside business, investors may be able to seek redress from the broker – dealer for failure to supervise.
