The Securities and Exchange Commission (the “SEC”), on July 10, 2913 by a vote of 4-1, adopted amendments to Rule 506 of Regulation D under the Securities Act of 1933 (the “Securities Act”).1 These amendments, which were required by the Jumpstart Our Business Startups Act of 2012 (the “JOBS Act”), eliminate, subject to certain conditions, the prohibition on general solicitation and general advertising in Rule 506, one of the most commonly relied upon safe harbors from Securities Act registration by private fund issuers.
